- Draft employment contracts, commission agreements, bonus and incentive plans, non-disclosure agreements, and arbitration agreements

- Prepare and negotiate termination, general release, and severance documents.
- Prepare and negotiate independent contractor agreements and assist in transitioning workers from independent contractor status to employment status.
- Negotiate executive employment contracts and separation documents.

Wage and Hour Compliance

Internal Investigations
- Conduct prompt, impartial investigations into a wide variety of complaints including allegations of discrimination, harassment, retaliation, bullying, policy violations, and other personnel issues.
- Review employer time and pay discrepancies.
Corporate Due Diligence
- Advise buy or sell side on employment issues triggered by mergers and acquisitions.
- Assist corporate counsel or out of state employment counsel identifying wage and hour issues, including misclassification analysis and analysis of pay practices and preparing associated disclosures.
- Analyze existing employment agreements, collective bargaining agreements, and related obligations.
- Help clients manage the risk related to employee retention and layoffs in connection with merges and acquisitions.
- Analyze existing employment practices and policies and post-transaction revision and integration of policies.
Union and Labor Relations
- Counseling related to issues including organizing/avoidance campaigns, work stoppages, reductions in force, and other related issues.
- Negotiations with unions including collective bargaining agreements, effects negotiations, and other mid-term agreements.
- Defense of unfair labor practices, grievances and arbitrations pending with the NLRB, PERB, and labor arbitrators.
- Advise employers and train management teams in their efforts to remain union-free and avoid union expansion.
Sexual Harassment, Labor/Management Relations, and Other Trainings
- Conduct interactive training for supervisors and non-supervisory employees on important
and sensitive topics tailored to the nuances of the workforce and industry involved including sexual harassment training as required by California law, union avoidance and labor- management relations, meal and rest break compliance, and other topics appliable to the workforce. - Provide one-on-one and small group coaching.
